Terms of Service

These Terms of Service (“Terms”) govern the engagement of services provided by Reel Mate Media (“RMM”, “we”, “us”, “our”) to you (“Client”, “you”). By engaging our services, you agree to be bound by these Terms.
If you do not agree with these Terms, please do not engage our services.
1. Our Role
Reel Mate Media is a creative partner, not a traditional advertising agency or content factory. Our services are designed to produce authentic, human-centred short-form content that performs organically on platforms such as TikTok and Instagram.
By engaging RMM, you acknowledge that our value lies in our creative direction, execution, and judgment — not in producing cookie-cutter or heavily micromanaged content.
2. Definitions
Services
Monthly short-form content creation services, which may include strategy, ideation, scripting, filming, editing, weekly content delivery, voice-note check-ins, and a monthly strategy call, as agreed in writing.
Deliverables
The final video content and related media provided to you as part of the Services.
Approval
Your agreement to content ideas, concepts, themes, or creative direction prior to production.
Approval may be given:
In writing (email or message),
Verbally (e.g. during a call), or
By explicitly granting Reel Mate Media full creative control.
Approval is considered valid once documented by RMM.
3. Engagement & Scope
3.1 Formation of Agreement
An agreement is formed once RMM confirms your engagement in writing and/or you proceed with payment.
3.2 Scope of Services
Services are delivered as outlined in your proposal, onboarding documentation, or agreed scope of work. Any changes to scope must be agreed in writing and may incur additional fees.
3.3 Client Input
You agree to provide any required brand assets, access, and information in a timely manner. Delays or omissions may affect delivery timelines and do not constitute a breach by RMM.
4. Creative Control & Approval
4.1 Approval Stage
Prior to production, RMM will align with you on content ideas, concepts, or themes. This is the stage for feedback and discussion.
4.2 Creative Control
Once ideas or direction are approved, you grant Reel Mate Media full creative control over production, including scripting, filming, editing, pacing, captions, and presentation.
You acknowledge that:

RMM is engaged for its creative expertise and style

Micromanagement after approval undermines authenticity and performance

Trust in execution is fundamental to this partnership
4.3 No Revisions After Production
Once content has been filmed or produced, no revisions are included.
Any requested changes after production — including stylistic preferences, tone adjustments, or alternative edits — are considered new work and may be accepted or declined at RMM’s discretion and, if accepted, billed separately.
5. Service Delivery
Services are delivered on an ongoing monthly basis, with content typically delivered weekly unless otherwise agreed.
RMM does not guarantee specific posting schedules, platform performance, engagement metrics, or business outcomes.
6. Fees & Payment
6.1 Fees
Fees are set out in your proposal or invoice and are inclusive of GST unless stated otherwise.
6.2 Payment Timing
Monthly services are invoiced in advance of each service period.
Payment must be received before services commence for that month.
6.3 Ongoing Engagement
Services continue on a month-to-month basis unless otherwise agreed in writing.
6.4 Late or Non-Payment
RMM reserves the right to pause or suspend services if payment is not received by the due date. Outstanding fees remain payable.
6.5 No Refunds
Once services have commenced, fees are non-refundable.
7. Term & Termination
7.1 Term
This agreement continues until terminated by either party in accordance with these Terms.
7.2 Termination by Client
You may terminate with 30 days’ written notice. Fees for work already invoiced or commenced remain payable.
7.3 Termination by RMM
RMM may terminate the agreement if you materially breach these Terms and fail to remedy the breach within 7 days of notice.
8. Intellectual Property
8.1 Licence to Use Deliverables
Upon full payment, you are granted a non-exclusive, non-transferable licence to use the Deliverables for your business and marketing purposes.
You may not resell, sublicense, or transfer the Deliverables without written consent from RMM.
8.2 Portfolio & Promotion
RMM retains the right to showcase Deliverables for portfolio, promotional, and marketing purposes unless you notify us otherwise in writing.
9. Client Warranties
You warrant that:

You own or are licensed to use all materials provided to RMM

You have the right to appear in or publish the content

Your use of the Deliverables complies with applicable laws and platform policies
You are solely responsible for how and where content is published.
10. Results Disclaimer
RMM makes no guarantees regarding reach, engagement, growth, conversions, or financial results. Social media performance depends on many factors outside our control.
All Services are provided “as is”.
11. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement, except where disclosure is required by law.
12. Limitation of Liability
To the maximum extent permitted by law, RMM’s liability is limited to the total fees paid by you for the Services giving rise to the claim.
RMM is not liable for indirect, incidental, or consequential losses.
13. Force Majeure
RMM is not liable for delays or failures caused by events beyond reasonable control, including platform outages, internet failures, or government actions.
14. Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior discussions or understandings.
15. Governing Law
These Terms are governed by the laws of Victoria, Australia, and the courts of that jurisdiction have exclusive authority.
